Merchant Terms

1. Introduction

These Merchant Terms govern the use of Zirro by businesses ("Merchants") who use the platform to sell products or services.

2. Role of Zirro

Zirro provides the infrastructure for businesses to operate and accept payments through integrated third-party providers.

Zirro enables merchants to manage storefronts, bookings, orders, customer communication, and payment acceptance through those integrated providers. Zirro is not the merchant of record unless explicitly stated in a separate written agreement.

3. Payments

Zirro does not hold or process funds. All payments are processed by third-party providers, and merchants are responsible for their payment accounts.

Payments are processed securely via trusted third-party providers such as Stripe, Paystack, and Monnify.

Merchants are responsible for:

  • Connecting and maintaining their payment account with the applicable provider
  • Complying with payment provider onboarding and verification requirements
  • Following all payment provider terms, risk rules, and prohibited business rules
  • Managing customer refunds, disputes, and chargebacks with their customers

4. Payouts

Zirro does not pay merchants. Merchants receive payouts from their connected third-party payment provider according to that provider's settlement schedule, verification requirements, reserves, and account status.

Payout timing, reserves, verification requirements, and settlement are controlled by the applicable payment provider — not by Zirro.

5. Disputes

Responsibility for disputes depends on the issue involved:

  • Customer disputes (orders, fulfilment, refunds, service quality): Merchants are primarily responsible for resolving disputes with their customers.
  • Payment and money disputes (chargebacks, settlement, reserves, payout holds): The connected third-party payment provider is primarily responsible. Zirro may assist with platform-related context where appropriate.
  • Platform issues (account access, product functionality, merchant support): Zirro is responsible for addressing merchant issues related to use of the platform.

6. Fees

Merchants may be charged fees for use of Zirro, including:

  • Subscription fees
  • Transaction or platform fees, where applicable
  • Fees for add-ons, premium features, or usage-based services

7. Merchant Responsibilities

Merchants must:

  • Provide accurate product, service, price, availability, and business information
  • Comply with laws and regulations in their jurisdiction
  • Handle customer support, fulfilment, refunds, and disputes
  • Keep account, tax, contact, and payment provider account information accurate
  • Use Zirro in accordance with our Acceptable Use Policy

8. Enforcement

Zirro may suspend, restrict, or terminate merchant accounts that pose risk to customers, the platform, payment partners, or legal compliance.
